1. About LegalAgento
LegalAgento (“Platform,” “we,” “us”) is an online marketplace that connects clients with independent, bar-verified attorneys for unbundled, limited-scope legal services. LegalAgento is not a law firm and does not provide legal advice. The attorney-client relationship is formed solely between the client and the matched attorney. LegalAgento acts solely as a technology intermediary and is not a party to any attorney-client engagement formed through the Platform.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement. By using the Platform, you represent and warrant that you meet these requirements. Attorneys must hold an active, valid bar license in at least one U.S. jurisdiction, maintain professional malpractice insurance at coverage levels consistent with applicable state bar requirements, and be in good standing with all bars to which they are admitted.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate, current, and complete information and to update it promptly if it changes. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in conduct harmful to the Platform or its users.
4. Services & Scope
All legal services provided through LegalAgento are unbundled, limited-scope engagements as defined by applicable state bar rules on limited-scope representation. The scope of each engagement is defined by the matter description and agreed-upon deliverables at the time of matching. Attorneys are not retained for ongoing, full representation unless separately agreed in writing outside this Platform. Nothing in these Terms creates a general retainer or ongoing attorney-client relationship beyond the specific matter engaged.
5. AI-Assisted Preparation
LegalAgento uses artificial intelligence to assist with legal research, document analysis, and draft preparation. All AI-generated content is reviewed, refined, and approved by the assigned attorney before delivery to the client. The AI does not provide legal advice and does not replace attorney judgment or professional responsibility. Attorneys remain solely responsible for the accuracy, legality, and suitability of all work product delivered to clients, regardless of any AI assistance used in its preparation.
6. Fees & Payment
All services are provided at flat fees displayed and agreed upon before engagement. Payment is processed securely through Stripe. Clients are charged upon delivery of the completed work product. The Platform retains a service fee as disclosed at the time of attorney signup and updated from time to time with notice; the remaining balance is disbursed to the attorney within the payout schedule set forth in the Attorney Services Agreement. All fees are denominated in U.S. dollars. Attorneys agree not to collect any additional fees, costs, or charges from clients outside the Platform for matters originating on LegalAgento.
7. Refunds & Disputes
If work product has not been delivered, clients may cancel for a full refund within 48 hours of payment. Once work product has been delivered, refund requests must be submitted to support@legalagento.com within 7 days of delivery. LegalAgento will review the request, consult the assigned attorney, and issue a determination within 5 business days. Partial refunds may be issued at our discretion where work product is delivered but materially incomplete. Chargebacks initiated without first contacting support may result in account suspension.
8. Attorney Obligations
Attorneys on the Platform agree to: (a) maintain an active bar license and malpractice insurance at all times and notify LegalAgento within 48 hours of any change in license status; (b) personally review all AI-prepared materials before delivery and take professional responsibility for all work product; (c) comply with all applicable rules of professional conduct, including those governing limited-scope representation, conflicts of interest, and client communication; (d) deliver work product within the timeframe agreed upon at engagement; (e) maintain strict client confidentiality in accordance with applicable attorney-client privilege rules and Rules of Professional Conduct; and (f) not solicit clients met through the Platform for representation outside the Platform for a period of 12 months following the conclusion of a matter.
9. Non-Solicitation
Attorneys agree not to directly solicit clients introduced through the Platform for off-platform engagements during an active matter or for 12 months following its conclusion. Clients agree not to directly solicit attorneys met through the Platform to circumvent the Platform's fee structure. Violations of this provision may result in immediate account termination and may give rise to a claim for damages equal to the fees that would have been generated through the Platform.
10. Intellectual Property
Work product delivered through the Platform is owned by the client upon full payment. Attorneys retain no rights to work product delivered to a client. LegalAgento retains a limited, non-exclusive license to use anonymized, aggregated, non-identifiable data to improve its AI systems and platform operations. The Platform's software, branding, trademarks, and proprietary content are owned exclusively by LegalAgento and may not be reproduced, distributed, or used without express written permission.
11. Data Retention & Privacy
Matter documents, messages, and associated client data are retained for a period of 7 years following the close of a matter to comply with applicable recordkeeping obligations, unless a shorter or longer period is required by applicable law. Clients and attorneys may request deletion of their account and associated personal data by contacting privacy@legalagento.com. Deletion requests will be processed within 30 days, subject to our legal retention obligations. Please review our Privacy Policy for full details on how we collect, use, and protect your data.
12. Indemnification
You agree to indemnify, defend, and hold harmless LegalAgento, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of or inability to use the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) in the case of attorneys, any claim arising from legal services provided to a client through the Platform. LegalAgento reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully.
13. Limitation of Liability
LegalAgento is a technology marketplace platform. We are not responsible for the quality, accuracy, completeness, or outcome of legal services provided by attorneys on the Platform. To the maximum extent permitted by applicable law, LegalAgento's aggregate liability for any claim arising from or related to these Terms or the Platform shall not exceed the total fees paid by you to LegalAgento in the 12 months preceding the claim. In no event shall LegalAgento be liable for indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility of such damages.
14. Force Majeure
LegalAgento shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, labor disputes, internet or telecommunications outages, government actions, or third-party service provider failures. In such events, our obligations will be suspended for the duration of the force majeure event.
15. Dispute Resolution & Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform shall first be submitted to informal resolution by contacting support@legalagento.com. If not resolved within 30 days, disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, conducted in English, in the State of Delaware. The arbitrator's decision shall be final and binding. Either party may seek emergency injunctive relief in a court of competent jurisdiction.
16. Class Action Waiver
You and LegalAgento each waive any right to bring or participate in any class action, collective action, or representative proceeding. All claims must be brought in an individual capacity. This waiver applies to the maximum extent permitted by applicable law. If this waiver is found unenforceable with respect to any claim, that claim shall be severed and litigated in court while all remaining claims proceed in arbitration.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes not subject to arbitration shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to personal jurisdiction in those courts.
18. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email and in-app notification at least 14 days before taking effect. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and may close your account.
19. Severability & Entire Agreement
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall remain in full force and effect. These Terms, together with our Privacy Policy and (for attorneys) the Attorney Services Agreement, constitute the entire agreement between you and LegalAgento regarding the Platform and supersede all prior agreements.
